1. Acceptance of Terms
By accessing or using the services provided by IntelliS Corporation Pte. Ltd. ("IntelliS", "we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.
2. Services Description
IntelliS provides recruitment, executive search, workforce deployment, EOR (Employer of Record) services, subsea engineering design, project turnkey solutions, and talent development training for the offshore energy industry. Our services include AI-powered candidate assessment, visa processing, payroll administration, and cross-border compliance management.
3. Client Obligations
- Provide accurate and complete information about job requirements, project specifications, and budget parameters
- Respond to candidate submissions and interview scheduling requests in a timely manner
- Comply with all applicable employment laws and regulations in the jurisdictions where candidates are deployed
- Not solicit or hire IntelliS employees or contractors without prior written consent
- Pay all invoiced fees within the agreed payment terms
4. Candidate Obligations
- Provide accurate and truthful information in resumes, applications, and assessments
- Consent to background verification and reference checks when required
- Not misrepresent qualifications, experience, or certifications
- Notify IntelliS of any changes in availability, employment status, or contact information
- Comply with the terms of any employment agreement with the client company
5. Intellectual Property
All content, tools, assessment frameworks, methodologies, and reports developed by IntelliS are our exclusive intellectual property. This includes the 9-dimension assessment framework, evaluation algorithms, candidate reports, and market intelligence data. Unauthorized reproduction, distribution, or use of any proprietary materials is strictly prohibited.
6. Limitation of Liability
IntelliS shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services. Our total liability for any claim shall not exceed the fees paid by the client for the specific service in question during the 12 months preceding the claim.
We do not guarantee that any candidate will accept an offer or remain in a position for any specific duration. We do not warrant that our services will be error-free or uninterrupted.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This includes candidate personal data, client business information, pricing structures, and assessment methodologies. Confidentiality obligations survive the termination of any service agreement for a period of 3 years.
8. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore. The language of the arbitration shall be English.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.
10. Amendments
IntelliS reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to this website. Continued use of our services after any modification constitutes acceptance of the updated terms.
